1. Description of Service

Rentcharlie Inc. provides an online portal or hub for Listers (those with goods, products, or services for rent) and Renters (those wanting to rent goods, products, or services). Rentcharlie Inc. will serve as an aggregator of rental sites. Rentcharlie Inc. has no control over the quality, safety, or legality of the items available on the site, nor to the truth nor accuracy nor availability of the listings, nor the ability of Listers to list or Renters to rent items. Rentcharlie Inc. does not process rental of goods, services, and products from the Lister to the Renter. Therefore, Rentcharlie Inc. does not guarantee a Renter or Lister will in actuality complete a transaction. Both Listers and Renters agree to deal with other members at their own risk.

Rentcharlie Inc. does not represent nor endorse the accuracy of any advertising contained on the site, or via links contained on the site, nor products, goods or services gained through site links.

2. Membership

You automatically become a member of Rentcharlie Inc. once you have acquired an appropriate membership.

3. Registration Obligations

a. Lister Oblications

To register, you must provide your real name, address, phone number, and email address. Other information may be required from time to time. You must not register under a false name or false e-mail address , nor can you impersonate another user, nor make use of another member's password. Such actions would constitute a violation of Rentcharlie Inc.'s policies. If you provide false or incomplete information Rentcharlie Inc. has the right to suspend or terminate your account. This could result in the refusal of any and all current or future use of Rentcharlie Inc.. As a Lister you are responsible for all your actions while on Rentcharlie Inc.. You must at all times ensure the security of your password and account. By using this Site you accept responsibility for maintaining the confidentiality of your account and password and for restricting access to your computer. You also accept responsibility for any actions and activities occurring under your account and password. If you suspect unauthorized use of your password or account has taken place, please contact [email protected].

b. Renter Obligations

This site is open to all Renters (visitors wishing to rent something). All products and services listed on this Site are available to all visitors to this Site, with the provision all Terms and Conditions are met. This prerequisite will include the Rules and Regulations of individual websites listed on Rentcharlie Inc..

4. Communication

The User consents to receive communications from Rentcharlie Inc. electronically, or however necessary to facilitate services in connection with Rentcharlie Inc.. The User agrees to provide prompt and complete information to Rentcharlie Inc. as requested. User accepts any communications Rentcharlie Inc. provides, such as agreements, notices, disclosures and other communications transmitted electronically, will satisfy any legal requirement said communications be in writing.

5. Maintentance of Account

As an account holder you will be solely responsible for all information and materials you transmit, upload, email, post, or otherwise make available on Rentcharlie Inc.. The content must be accurate, current, complete, and must be yours to post. This content cannot violate any of the terms of this policy.

6. Conduct

As a Lister you are responsible for ensuring the rental of your item(s), the listing itself, and the appropriateness of all activities and communications involved.

As a Lister you will ensure any transaction you conduct will not:

1. be false, inaccurate nor misleading, nor involve the exchange of stolen or counterfeit items.
2. be threatening, abusive, obscene, libelous, nor invasive.
3. violate any patent, trademark, or copyright.
4. violate any law or statute.
5. transmit any material containing software viruses, worms, or any computer codes, files, or programs designed to interfere with, limit the functionality of nor destroy any computer software, or hardware, or telecommunications equipment.
6. send or host any material of a political nature, chain letters, mass mailings nor any manner of spam.
7. create liability for us or cause us to lose the services of our ISP's or money managing system.
8. contain pornography.

7. Right to Publish Images and Information

Lister represents and warrants it owns or controls the right to publish the images and information supplied to Rentcharlie Inc. and that such images and information do not infringe on third party rights nor are otherwise unlawful. Rentcharlie Inc. accepts no responsibility, nor any liability for any content posted on the Site. The Lister shall defend, indemnify, and hold blameless Rentcharlie Inc. and all its officers and representatives from and against all losses, damages, and claims, and all fees, costs and expenses arising out of any third party claim alleging infringement of any trademark, trade secret, patent, copyright, privacy rights, competition monopoly, false advertising, legal fees, or any statute, law, or right.

8. Non-Exclusive License Grant to Rentcharlie Inc.

For the term of this agreement, the Lister grants a nonexclusive, royalty-free, perpetual license to Rentcharlie Inc. to use, copy, modify, distribute and display data and images of the Lister's property for the purpose of digitizing and formatting such images for placement on the Site as well as marketing the property throughout the world via the Internet and all other media, in accordance with the terms and conditions of this Agreement.

9. Limited License Grant to Lister

Rentcharlie Inc. hereby grants to the Lister a personal, limited, revocable, nontransferable, license to use computer programs in conjunction with the Site in accordance with these terms and conditions, and for no other purpose. The content of this Site, as well as computer programs contained on the Site, and all other electronic media, contain the intellectual property and proprietary information of Rentcharlie Inc.. All title to, ownership of, and rights to the computer programs shall remain the exclusive property of Rentcharlie Inc.. Any reproduction, redistribution, display of computer programs, or creation of a derivative work of the computer programs, is expressly forbidden by this Lister Agreement. All data and materials derived by Rentcharlie Inc. on your behalf shall be licensed to Rentcharlie Inc. for the sole purpose of use on this Site. In addition, no portion of this site may be reproduced, duplicated, copied, sold, resold, or otherwise exploited for any commercial purpose not expressly permitted by Rentcharlie Inc.. This includes, but is not limited to, the collection and use of product listings, descriptions, or prices.

10. Reservation of Rights

Rentcharlie Inc. reserves the right, at its discretion, to make improvements or corrections to any errors or omissions to any portion of the Service or the Materials contained within, without notice to members. Rentcharlie Inc. reserves the right, with due discretion, to edit or remove any content which violates its provisions, or is deemed inappropriate to the rest of our members. By using Rentcharlie Inc., you agree, without limitation or qualification, to be bound by all terms and conditions contained herein.

Rentcharlie Inc. has the right, but not the obligation, to monitor any activity or content associated with the Site. Rentcharlie Inc. may investigate any complaints or reported violations of its policies and take any action deemed necessary. Such actions may include, but are not limited to, issuing warnings, suspension of privileges, a temporary denial of access, or the temporary removal of listings or advertisements from the site. In extreme cases, Rentcharlie Inc. may initiate a complete account termination of membership to the users infringing upon the rights of others.

Rentcharlie Inc. has endeavored to make this Site as convenient to its users as possible. Nevertheless, Rentcharlie Inc. assumes no responsibility for error or omissions in this Site. The material and service on this Site may be out of date, and Rentcharlie Inc. makes no commitment to update. Nor do we guarantee continuous, uninterrupted or secure access to our services. It is not guaranteed defects in the Site will be corrected. Operation of the Site may be compromised by factors beyond our control. By using Rentcharlie Inc. you agree not to post, nor to transmit, any defamatory, obscene, abusive, misleading, nor illegal material. Your actions, while on the Site, cannot infringe upon the rights of others, nor interfere with others ability to utilize the Site. 12. Terms and Conditions of Transaction

When you register or conduct a transaction on Rentcharlie Inc. you will be required to accept our Terms and Conditions of Transaction.

As a Renter, you acknowledge Rentcharlie Inc. is not the Lister. Rentcharlie Inc. acts as a facilitator for a rental transaction between a Renter and a Lister.

13. Trademark Information

Rentcharlie Inc., the Rentcharlie Inc. Internet logo, and all product and service names are trademarks of Rentcharlie Inc.. Rentcharlie Inc.'s trademarks may not be used in connection with any product or service in a manner likely to cause confusion, unease, or concern among Listers or Renters.

14. Intellectual Property Rights

All materials on this Site are protected by the copyright laws of Canada. This includes all content on the Site, including text, graphics, logos, button icons, images, software, and audio and video clips which are the property of Rentcharlie Inc. or its suppliers. The collection and arrangement of all content on this site are also the exclusive property of Rentcharlie Inc.. Without prior written permission from Rentcharlie Inc. or the copyright owner, none of the material may be copied, reproduced, distributed, republished, downloaded, posted, or transmitted in any form or by any means. This includes via electronics, mechanical, recording photocopying, or other means. Permission is granted to display and download materials from the Site for personal, noncommercial use only, as it pertains to the Site. Permission is instantly revoked if any breach of the terms and conditions occurs. Upon termination, you must immediately destroy any downloaded or printed materials. Any unauthorized use of materials from the Site may violate copyright or trademark laws, privacy and publicity laws, and communications regulations and statutes.

15. Indemnification

User will defend or handle at their own expense, any third-party claim arising from a breach of this Agreement on the part of the User or their representatives. This includes any virus, worm, Trojan-Horse, or other contaminating or destructive feature received by a third-party due to the User's or their representatives use of Rentcharlie Inc.. Any claims brought by a third party, having a basis in contract or tort, in law or in equity, including fraud, breach of contract, misrepresentation, and gross negligence shall be dealt with by the User. The User shall indemnify against any loss, liability, cost or expense, including attorney fees, resulting from any claim.

16. Limitation of Liability

In no event shall Rentcharlie Inc. be held liable for damages of any kind arising from the use of this Site, an inability to use the Site, or an under-performance of the information, services, products, or materials on the Site. Damages can include, but not be limited to, direct, indirect, incidental, punitive, exemplary, or consequential damages, even where Rentcharlie Inc. has been previously advised of the possibility of such consequences. This extends to any lost profits, revenues or savings. Even where an action was undertaken on contract, or through warranty, Rentcharlie Inc. shall be held free of liability. For the purpose of this Section, the term Rentcharlie Inc. shall include Rentcharlie Inc., its affiliates, parent, directors, officers, and employees, as well as any person or entity assisting Rentcharlie Inc. in its performance pursuant to these Terms and Conditions.

Rentcharlie Inc. reserves the right to modify or make changes to the Site, its policies, and these Terms and Conditions at any time and without prior notification. All amended Terms will be posted on the Site, taking effect automatically 30 days after they are initially posted. In addition we shall notify you in accordance with your notification preferences.
